Terms of Service

These Terms of Service ("Terms") govern your use of the comms.lddrako.com service (the "Service"). By signing in to the Service or using any of its features, you agree to these Terms. If you do not agree, do not use the Service.

1. What the Service is

COMMS is a Discord cross-server voice broadcast tool. You authenticate with Discord, create a routing matrix, and during a broadcast our pool of bots relays audio in real time between voice channels in your own Discord guild and, on paid tiers, voice channels in other Discord guilds you have permission to broadcast into.

The Service is offered subject to your separate acceptance of, and ongoing compliance with, the Discord Terms of Service (discord.com/terms) and the Discord Community Guidelines (discord.com/guidelines). We are not affiliated with, endorsed by, or sponsored by Discord, Inc.

2. Eligibility

You must be at least 16 years old (or the age of digital consent in your country, whichever is greater) to use the Service. By using the Service you represent that you meet that requirement and that you have the legal authority to enter into these Terms.

If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" in these Terms includes both you personally and that organization.

3. Accounts and tenants

A "tenant" in the Service corresponds to one Discord guild. The owner of that guild, plus any guild member holding a configurable management role (default name Comms), can act as an administrator for the tenant. Members with the management role can:

  • Create, edit, and delete matrices.
  • Start and stop broadcasts.
  • View the tenant's audit log.
  • Change billing tier (subject to Discord guild-owner consent on paid tier upgrades).

You are responsible for who you grant the management role to and for all actions taken by anyone with that role on your tenant.

4. Acceptable use

You agree that you will not, and will not permit anyone using your tenant to:

  • Use the Service to harass, threaten, defame, or harm any person.
  • Use the Service to broadcast content that is illegal, obscene as defined by applicable law, or that infringes intellectual-property rights you do not hold.
  • Capture, record, or distribute audio from a Discord voice channel without the consent of the people speaking, where consent is required by applicable law (this includes any future "listener bot" features we offer).
  • Broadcast into a Discord guild where you do not have administrator permission, or where the guild's owner has not authorized the destination of broadcasts.
  • Attempt to circumvent tier limits, billing, or rate limits.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service.
  • Resell, rent, or sublicense the Service or repackage it as your own.
  • Probe, scan, or test the Service's security except as expressly permitted under our security policy.
  • Use the Service to send spam, automated unsolicited content, or to facilitate any activity that violates Discord's terms.

We may suspend or terminate your access if we believe in good faith that you have violated this section.

5. Tiers, billing, and refunds

The Service is offered in three tiers:

  • Free / Trial — limited monthly audio minutes, broadcasts within your own guild only.
  • Basic — paid monthly subscription; cross-guild broadcasts to a limited number of destination guilds.
  • Pro — paid monthly subscription; cross-guild broadcasts to a higher destination-guild cap.

Tier features and prices are listed at /pricing and may change with notice as described in §10.

5.1 Billing

Paid subscriptions are billed in advance through Stripe, Inc. in U.S. dollars. By upgrading to a paid tier you authorize us to charge the payment method you have on file with Stripe at the start of each billing period.

5.2 Free-tier minute cap

The Free tier includes a fixed number of broadcast minutes per calendar month, reset on the first day of each month. When you exhaust the cap, active broadcasts will fade out gracefully and new broadcasts cannot be started until the next reset, unless you upgrade.

5.3 Cancellation

You may cancel a paid subscription at any time through the Stripe Customer Portal accessible from the dashboard. Cancellation takes effect at the end of the current billing period; you continue to have paid-tier access until then. We do not provide refunds for partial billing periods, except where required by applicable law.

5.4 Failed payments

If a payment fails, we will retry it through Stripe's standard dunning process. If the failure is not resolved, we will downgrade your tenant to Free at the end of the current billing period.

5.5 Taxes

Prices are exclusive of any taxes you owe in your jurisdiction. Where required by law, we will collect and remit applicable sales tax or VAT.

6. Your content

You retain ownership of any content you create using the Service, including matrix configurations and any associated metadata. You grant us a limited, worldwide, non-exclusive license to host, process, and transmit that content solely as needed to provide the Service to you.

Live audio passing through the Service is your content. We do not record, store, transcribe, or analyze it. See the Privacy Policy for details.

7. Service availability

We make commercially reasonable efforts to keep the Service available, but we do not at this time guarantee a specific level of availability or offer a service-level agreement. The Service is provided "as available". We may schedule maintenance windows, deploy updates, and perform planned restarts; we will provide reasonable advance notice for windows we expect to affect availability.

The Service depends on Discord, on Stripe, and on our hosting provider. Outages or changes in those services may affect the Service. We are not responsible for problems caused by them, but we will work in good faith to mitigate the impact.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY DATA WILL BE TRANSMITTED ACCURATELY OR WITHOUT LATENCY.

Some jurisdictions do not allow the disclaimer of certain warranties; in those jurisdictions, the disclaimers above apply only to the extent permitted.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS IS LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.

WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR LOST GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

The exclusions and limitations in this section apply regardless of the legal theory and do not apply to liability that cannot be limited under applicable law.

10. Changes to these terms

We may update these Terms from time to time. For material changes, we will give you at least 14 days' notice by email and by posting the updated Terms at this URL with an updated effective date. If you continue to use the Service after a change takes effect, you accept the updated Terms. If you do not accept them, you may cancel your subscription and stop using the Service before the effective date.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access to the Service if you materially violate these Terms, if your use creates legal risk for us, or if Discord requires us to do so. We will give you notice and a reasonable opportunity to cure where practical.

On termination, sections 6, 8, 9, 12, 13, and 14 survive.

12. Indemnification

You agree to indemnify and hold harmless LdDrako, its officers, employees, and contractors from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) content you transmit through the Service, or (c) your violation of any third party's rights, including intellectual property and privacy rights.

13. Governing law and venue

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

If you are a resident of the European Economic Area, the United Kingdom, or another jurisdiction whose law gives you a non-waivable right to bring claims in your local courts, nothing in this section limits that right.

14. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets, with notice to you.
  • No waiver. Our failure to enforce a right under these Terms is not a waiver of that right.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force.
  • No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
